GoSpace Limited – Terms and Conditions (Office / Workshop / Storage Units)
These Terms and Conditions apply to the sale of modular, prefabricated, assembled, and flat- pack units supplied by GoSpace Limited ("Seller"). By paying a deposit, accepting a quote, issuing a purchase order, or taking delivery, the purchaser ("Buyer") agrees to these Terms and Conditions.

1. Purpose and Intended Use (Non‑Residential)
Units are supplied for use as offices, workshops, storage, site facilities, or similar non‑residential purposes only, unless otherwise expressly agreed in writing. Units are not supplied, marketed, or warranted as permanent residential dwellings.

2. Nature of the Units and Regulatory Status (Building / Planning)
Units are designed and sold as movable structures. Regulatory requirements in New Zealand (including building consent, resource consent, and compliance obligations) depend on how and where a unit is installed, connected to services, and used.

To avoid any misunderstanding, the Seller does not represent or warrant that a unit is exempt from building consent requirements or that it can be installed anywhere without approvals. It is the Buyer’s sole responsibility to obtain independent advice and confirm requirements with the relevant local authority and other regulators before purchase, delivery, and installation.

Where any statements are made by the Seller about typical consent pathways, exemptions, or likely council requirements, those statements are general information only and must not be relied upon as a guarantee.

3. Movement, Transport and Water Tightness
Units are manufactured and supplied as movable structures. Movement and transportation may affect seals, joints, and finishes. After any relocation, re‑sealing may be required to ensure water tightness. Skirting systems (where supplied) may require adjustment, reinstallation, or replacement after movement.

4. Electrical Compliance – Assembled Units
Fully assembled units are supplied with an Electrical Code of Compliance (CoC) for electrical work completed by the Seller prior to dispatch (where stated in the quote). The CoC applies only to the electrical work completed by the Seller and does not extend to any subsequent modifications, connections, or site works.

5. Flat‑Pack Units – Electrical and Assembly Requirements

Flat‑pack units require installation and inspection by a New Zealand registered electrician. The Buyer is responsible for supplying and installing compliant conduits for cabling and New Zealand approved/standard lighting, switchboard/RC board, and power outlets/inlets. All electrical work must comply with New Zealand electrical standards and regulations.

6. Flat‑Pack Assembly and Finishing
Depending on the model, skirting may need to be purchased separately and installed by the Buyer. Silicone sealing is required in accordance with the Seller’s installation guidance/videos. Minor cosmetic touch‑ups may be required to remedy blemishes arising from transport, storage, or assembly. Ceiling installation methods may vary between models and may differ from example installation videos.

7. Delivery, Risk and Insurance
Risk in the goods passes to the Buyer when the unit leaves the Seller’s premises or nominated dispatch location (whichever occurs first). From that point, the Buyer is responsible for insurance, transport risks, loss, and damage, including damage occurring in transit and during unloading and placement.

8. Pricing and GST
All prices are inclusive of Goods and Services Tax (GST) unless expressly stated otherwise. Unless expressly included in writing, prices exclude delivery, unloading, crane/HIAB costs, installation, foundations, site works, utility connections, consents, council fees, and inspections.

9. Site Access, Ground Conditions and Placement
The Buyer is responsible for ensuring clear, safe, and suitable access for delivery vehicles and lifting equipment, and that the ground and placement location is flat and suitable for the load and intended use. Any delays, additional charges, or failed deliveries caused by inadequate access, unsuitable ground conditions, or third‑party restrictions are the Buyer’s responsibility.

10. Returns, Cancellations and Change of Mind
Units are ordered, manufactured, and/or allocated to the Buyer’s specification. Unless required by law, the Seller does not accept returns for change of mind. If the Buyer cancels an order, deposits may be retained to cover costs incurred and losses suffered by the Seller.

11. Warranties, Defects and Limitations
The Seller warrants that units are supplied in accordance with agreed specifications at the time of sale. Normal wear and tear, transport‑related cosmetic damage, and post‑delivery modifications are excluded.

Where the Buyer is a consumer (as defined by the Consumer Guarantees Act 1993), statutory guarantees may apply and cannot be excluded. Where the Buyer acquires the unit for business purposes and the parties are in trade, the parties may agree in writing to contract out of the Consumer Guarantees Act to the extent permitted by law.

12. Fair Trading Act Compliance (Misleading Representations)
The Seller aims to provide accurate descriptions and information about units. Under the Fair Trading Act 1986, conduct in trade must not be misleading or deceptive (or likely to mislead or deceive) and claims must not be unsubstantiated.

Accordingly: (a) specifications, photos, and videos are indicative only and may vary between models and production runs; (b) the Seller does not make guarantees about council approval outcomes; and (c) any performance claims (e.g., water tightness) are based on the unit’s condition at dispatch and assume correct installation, sealing, and maintenance.

13. Limitation of Liability
To the maximum extent permitted by law, the Seller’s liability is limited (at the Seller’s option) to repair or replacement of defective goods or refund of the purchase price paid for the affected goods. The Seller is not liable for indirect or consequential losses including loss of profit, loss of use, business interruption, or delay costs.

14. Buyer Responsibilities
The Buyer is responsible for: (a) obtaining all consents, approvals, inspections, and certifications required for installation and use; (b) ensuring the unit is installed and maintained in accordance with provided guidance; and (c) complying with all health and safety obligations during transport, unloading, installation, and use.

15. Variations and Entire Agreement
Any variation to these Terms and Conditions must be agreed in writing by the Seller. These Terms and Conditions, together with the Seller’s quote and any written special conditions, form the entire agreement between the parties for the supply of the goods.

16. Governing Law
These Terms and Conditions are governed by the laws of New Zealand and the parties submit to the exclusive jurisdiction of the New Zealand courts.
